POLIREUM Terms of Service

Effective Date: February 1, 2026 · Last Updated: September 11, 2026

These Terms of Service ("Terms") govern access to and use of POLIREUM, including its websites, mobile applications, creator tools, community features, artificial intelligence tools, music-generation features, collaboration rooms, remix tools, storefronts, marketplaces, and related services (collectively, the "Service"). The Service is operated by Polireum, LLC, doing business as POLIREUM ("POLIREUM," "we," "our," or "us"). By accessing or using POLIREUM, creating an account, uploading content, generating content, participating in collaborations, buying or selling products, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use POLIREUM. 1. Eligibility You must be at least 18 years old and legally capable of entering into a binding agreement to use POLIREUM. By creating an account, you represent that: • You are at least 18 years old. • Information you provide is accurate. • You have authority to enter these Terms. • If you represent a company, label, artist, group, or other organization, you have authority to bind that organization. POLIREUM may request age, identity, or business verification. 2. What POLIREUM Is POLIREUM provides technology that allows users to create, upload, host, share, promote, collaborate on, remix, distribute when available, license when available, and sell music and related creative content. Unless POLIREUM expressly agrees otherwise in writing, POLIREUM is not your record label, publisher, manager, agent, performing-rights organization, attorney, accountant, rights-clearance service, or fiduciary. POLIREUM does not acquire ownership of your music merely because you upload, create, host, or sell it through the Service. Users remain responsible for determining and securing the rights necessary for their content and activities. 3. Your Account You are responsible for: • Keeping your login credentials secure. • Activities conducted through your account. • Maintaining accurate information. • Promptly notifying POLIREUM of unauthorized access. • Maintaining control over individuals you authorize to access your workspace. You may not sell, transfer, rent, or otherwise provide your account to another person without authorization from POLIREUM. We may suspend accounts where we reasonably suspect fraud, infringement, unauthorized access, abuse, or violations of these Terms. 4. User Content "User Content" includes anything users upload, create, generate, submit, stream, transmit, sell, publish, or otherwise make available through POLIREUM, including sound recordings, musical compositions, lyrics, beats, instrumentals, samples, stems, remixes, AI-generated music, AI-assisted music, images, album artwork, videos, artist photographs, voice recordings, live-room content, messages, posts, comments, prompts, artist biographies, logos, trademarks, products, and digital files. Except for rights necessary to operate the Service, you retain whatever ownership rights you legally possess in your User Content. 5. License You Give POLIREUM By submitting User Content, you grant POLIREUM a worldwide, non-exclusive, royalty-free license to host, store, reproduce, encode, transcode, display, stream, transmit, distribute, format, resize, and otherwise process that content only as reasonably necessary to operate, provide, secure, improve, promote, and administer the Service and fulfill actions you request. For content you intentionally make public, this license also permits POLIREUM to display and promote that content within POLIREUM, including discovery feeds, artist profiles, search results, social previews, and POLIREUM marketing that identifies the content as part of the POLIREUM platform. This license ends when the content is deleted, subject to reasonable backup periods, completed purchases, existing licenses, legal retention requirements, fraud and security records, disputes, and copyright complaints. We do not obtain ownership of your copyright through this license. 6. YOUR RESPONSIBILITY FOR MUSIC, LYRICS AND CREATIVE RIGHTS THIS SECTION IS IMPORTANT. By uploading, publishing, generating, distributing, remixing, selling, licensing, streaming, or otherwise using content through POLIREUM, you represent and warrant that you possess all rights, licenses, permissions, and consents necessary for that use. This includes rights relating to sound recordings, musical compositions, lyrics, beats, samples, loops, stems, melodies, instrumentals, cover songs, remixes, artwork, photography, videos, logos, trademarks, performers, featured artists, producers, songwriters, publishers, record labels, voices, names, images, and likenesses. You are solely responsible for determining whether your content infringes another person's copyright, trademark, publicity, privacy, contractual, licensing, or other rights. POLIREUM's acceptance, processing, publication, generation, sale, or distribution of content does not constitute confirmation that the content is legally cleared. 7. Samples, Beats, Loops and Third-Party Material You may not use copyrighted samples, beats, loops, stems, recordings, lyrics, melodies, or other protected material unless you have sufficient authorization. If a license imposes restrictions, you are responsible for complying with those restrictions. For example, you are responsible for determining whether a third-party beat or sample permits commercial releases, streaming, resale, or derivative works; requires attribution; limits streams or sales; prohibits Content ID registration; is exclusive or nonexclusive; or requires additional royalties. Uploading content to POLIREUM does not override third-party licensing restrictions. 8. AI-Generated and AI-Assisted Content POLIREUM may provide access to artificial intelligence systems operated by POLIREUM or third-party providers. AI-generated content raises developing questions concerning copyrightability and ownership. The U.S. Copyright Office has stated that material generated wholly by AI without sufficient human authorship is not copyrightable under current U.S. law, while qualifying human-authored contributions may receive protection. Accordingly, POLIREUM does not guarantee that AI output is copyrightable, that you own copyright in AI output, that AI output is unique, that similar output will not be generated for another user, that AI output is free of third-party claims, or that AI output is eligible for distribution or commercial sale, or that a generation provider grants commercial rights to a specific output. You are responsible for reviewing the terms associated with the AI provider and model used to create your content. 9. AI Commercial-Use Responsibility Before selling, commercially releasing, licensing, or distributing AI-generated or AI-assisted material, you must determine that commercial use is permitted. POLIREUM may store information such as AI provider, model, generation date, provider plan, commercial-use status, prompt metadata, AI disclosure, and human contribution information. POLIREUM may prevent commercial sale when rights information is incomplete or uncertain. Approval by a POLIREUM automated system does not constitute legal advice or a legal determination of ownership. 10. AI Prompts and Infringement You may not intentionally use POLIREUM's AI tools to create content that infringes or misappropriates another person's rights. Without authorization, you may not intentionally instruct the Service to clone a person's voice, impersonate a real artist, misappropriate someone's likeness, falsely represent content as being created or endorsed by another person, reproduce protected lyrics, recreate protected recordings, create fraudulent endorsements, or create misleading deepfakes. You remain responsible for prompts, reference files, audio, images, lyrics, and other material you provide to an AI system. 11. Artist Names, Voices and Likenesses You must have legally sufficient permission before using another person's name, image, voice, likeness, persona, performance, signature, or brand identity in content where permission is legally required. POLIREUM may request proof of authorization. 12. Collaborations POLIREUM enables artists, producers, songwriters, engineers, labels, and others to collaborate. POLIREUM does not automatically determine ownership of collaborative works. Collaborators are responsible for agreeing among themselves regarding songwriting ownership, master ownership, publishing, royalties, producer points, fees, credits, licensing authority, release authorization, distribution rights, and revenue splits. A POLIREUM collaboration request, chat message, room participation, or digital split indication should not be assumed to replace a professionally drafted agreement unless POLIREUM expressly identifies the document as legally binding. 13. Live Collaboration Rooms Users participating in Live Collabs must comply with applicable recording, privacy, and consent laws. You may not secretly record another participant where notice or consent is legally required. If POLIREUM provides recording functionality, participants may be notified that recording is occurring. You are responsible for obtaining any additional consent required by applicable law. 14. Remix Rights Public availability of a track does not mean it may be remixed. Remixing requires permission from the rights holder except where applicable law independently permits the activity. POLIREUM may allow track owners to specify: remixing prohibited, private remixing allowed, public remixing allowed, noncommercial use only, commercial use with approval, challenge-only use, stems available, or attribution required. Users must comply with those restrictions. POLIREUM's remix tools do not grant rights that the original creator does not possess. 15. Selling Music Through POLIREUM Eligible users may sell approved digital content through POLIREUM. When selling, you are the seller of your content unless expressly stated otherwise. You represent and warrant that you have authority to sell the content; your product description is accurate; you have cleared all applicable rights; your sale does not violate another agreement; collaborators entitled to payment have been properly addressed; AI-generated content is commercially eligible; all required taxes and reporting information you provide is accurate; and you will comply with applicable consumer-protection laws. POLIREUM may require verification before allowing sales. 16. Seller Rights Declaration POLIREUM may require a seller to confirm that sound recording rights are controlled, composition rights are controlled, samples are cleared, contributors approved the sale, artwork is authorized, AI commercial-use rights are confirmed, voice and likeness permissions exist, and no conflicting exclusive agreement exists. A false declaration is a material violation of these Terms. 17. POLIREUM May Request Proof of Rights POLIREUM may request licenses, split sheets, producer agreements, sample-clearance documentation, beat licenses, artist permissions, artwork licenses, AI-provider records, distribution agreements, or label authorization. Failure to provide reasonably requested documentation may result in content suspension or account restrictions. POLIREUM is not required to independently verify every user's rights. 18. Buyer License Unless a product expressly provides a different written license, purchases through POLIREUM provide the buyer with a personal-use license only. Purchasing music does not transfer copyright, master ownership, publishing ownership, sampling rights, remix rights, synchronization rights, resale rights, or commercial-use rights. Buyers may not redistribute purchased files. The product-specific license displayed at checkout controls where it differs from these general terms. 19. Payments and Payouts POLIREUM may use third-party payment processors such as Stripe. POLIREUM does not store complete payment-card numbers when payment information is collected directly by an approved processor. Seller payouts may be subject to identity verification, banking verification, tax requirements, reserves, refunds, disputes, chargebacks, fraud investigations, payment-provider restrictions, and applicable law. POLIREUM may delay or withhold payouts where reasonably necessary to investigate fraud, infringement, refunds, chargebacks, legal claims, or violations. 20. Marketplace Fees POLIREUM may charge subscription fees, AI-generation credits, marketplace commissions, payment-processing fees, distribution fees, and optional service fees. Applicable fees will be disclosed before the relevant transaction. Fees applicable to a completed sale may not be altered retroactively except to correct errors or comply with law. 21. Taxes Users are responsible for taxes applicable to their activity except where POLIREUM or a payment provider is legally required to calculate, collect, withhold, remit, or report them. POLIREUM may request tax information from sellers. Some online marketplaces have federal obligations to collect and verify information from certain high-volume third-party sellers under the INFORM Consumers Act. 22. Refunds and Chargebacks Digital-product purchases may be subject to POLIREUM's refund rules. A download or stream does not necessarily guarantee refund eligibility. POLIREUM may issue refunds where appropriate, including for duplicate charges, unauthorized transactions, missing files, corrupted products, material misrepresentation, and legal takedowns. Chargebacks may result in corresponding deductions or holds on seller balances where permitted. 23. Subscriptions and AI Credits Certain features may require subscriptions or credits. Credits have no cash value; cannot be redeemed for money unless expressly required by law; may carry expiration rules disclosed at purchase; may cost different amounts for different AI operations; may be reversed when an eligible generation fails; and may not be transferred unless POLIREUM expressly permits it. POLIREUM may modify future credit pricing with notice. 24. Community Content Users may post content and interact with others. You may not harass or threaten users, impersonate people, engage in fraud, spam users, manipulate engagement, post unlawful content, upload malware, exploit minors, engage in hate-based abuse, circumvent account restrictions, violate another person's privacy, or promote illegal transactions. POLIREUM may moderate or remove content. 25. Copyright Complaints and DMCA POLIREUM respects intellectual-property rights. If you believe content available through POLIREUM infringes your copyright, submit a notice to: POLIREUM DMCA Agent Polireum, LLC 115 E Main St Ste A1B - 1052 Buford, GA 30518-5727 United States Email: copyright@polireum.com Telephone: +1 470-500-8565 A valid notice should contain the information required by 17 U.S.C. §512. POLIREUM may remove or disable access to allegedly infringing material and notify the affected user. The affected user may submit a legally compliant counter-notification. POLIREUM maintains a policy providing for termination, in appropriate circumstances, of repeat infringers. 26. Trademark and Other Rights Complaints POLIREUM may provide separate processes for trademark claims, right-of-publicity claims, unauthorized voice claims, unauthorized likeness claims, fraud, and privacy violations. We may suspend content while investigating. 27. Repeat Infringers POLIREUM may suspend or terminate users who repeatedly infringe intellectual-property rights. We may consider valid takedown notices, court orders, admissions, counter-notifications, repeated rights complaints, fraudulent submissions, and other relevant circumstances. 28. Content Monitoring POLIREUM may, but is not obligated to, review or moderate User Content except where required by law. The fact that content remains available does not mean POLIREUM approves, endorses, or has verified it. 29. Third-Party Services POLIREUM may integrate third-party services for AI generation, payments, hosting, authentication, live audio, analytics, email, storage, and distribution. Those providers may have separate terms. POLIREUM is not responsible for a third party's acts beyond responsibility imposed by applicable law. 30. Suspension and Termination POLIREUM may suspend or terminate access for copyright infringement, fraud, chargebacks, rights violations, harassment, security abuse, illegal activity, false seller declarations, manipulating credits, circumventing restrictions, or material violations of these Terms. Where practical, users may receive notice and an opportunity to appeal. 31. No Legal Advice Information provided by POLIREUM concerning copyright, licensing, royalties, AI rights, splits, taxes, or other legal topics is informational. POLIREUM does not provide legal advice. Consult qualified counsel for legal questions. 32. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLIREUM IS PROVIDED "AS IS" AND "AS AVAILABLE." POLIREUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED; THAT AI OUTPUT WILL BE UNIQUE OR COPYRIGHTABLE; THAT CONTENT WILL BE NON-INFRINGING; THAT USERS WILL EARN MONEY; THAT COLLABORATORS WILL PERFORM AGREEMENTS; THAT MUSIC WILL BE ACCEPTED BY DISTRIBUTORS; THAT STOREFRONT PRODUCTS WILL SELL; OR THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE. Nothing in this section excludes warranties that cannot legally be excluded. 33. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLIREUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOST PROFITS ARISING FROM THE SERVICE. Except where prohibited by law, POLIREUM's aggregate liability arising from the Service will not exceed the greater of (a) the amount you paid POLIREUM during the 12 months preceding the claim, or (b) $100. This limitation does not apply where applicable law prohibits limitation. 34. Indemnification To the extent permitted by law, you agree to defend, indemnify, and hold harmless POLIREUM and its affiliates from claims, damages, liabilities, judgments, expenses, and reasonable attorneys' fees arising from your User Content, your products, your infringement of third-party rights, your unauthorized use of music or lyrics, your AI-generated content, your violation of contributor agreements, your sales, your taxes, your violation of these Terms, and your unlawful conduct. 35. Governing Law and Disputes These Terms are governed by the laws of [STATE], without regard to conflict-of-law principles. Venue for disputes not subject to arbitration shall be in the state or federal courts located in [COUNTY, STATE]. 36. Verified Self-Voice and Voice Models POLIREUM may allow you to create a private AI model of your own singing voice. You may only submit recordings of your own voice. You may not submit the voice of any other artist, celebrity, public figure, or third party, even with a recording you lawfully own, unless POLIREUM expressly supports authorized third-party voice models and you hold documented written permission. Voice recordings and voice models may constitute biometric or otherwise sensitive information in some jurisdictions. POLIREUM processes them only on the basis of your explicit consent, uses them only to build and run your private model, and does not use them to train shared or public models. You may delete your voice model and samples at any time. Deletion requests are also passed to the voice processing provider where the provider supports deletion. Withdrawing consent stops future processing but does not affect content you already generated and released. 37. Distribution to Streaming Services Where distribution is available, POLIREUM delivers your release to digital service providers through POLIREUM's own supply chain and third-party delivery partners. You contract with POLIREUM; you are not required to hold an account with any delivery partner. POLIREUM does not guarantee acceptance by any store, a specific release date, placement, playlisting, or continued availability. Stores may reject, delay, or remove releases under their own policies. You authorize POLIREUM to deliver your release, metadata, artwork, credits, rights declarations, and AI disclosures to stores and to the delivery partners needed to complete delivery, and to request takedowns on your instruction or where these Terms, a rights complaint, or applicable law require it. Identifiers such as ISRC and UPC may be assigned on your behalf. You must not deliver the same recording through multiple distributors in a way that creates duplicate or conflicting deliveries. 37A. Streaming Royalties: Collection, Reporting and Payout Streaming royalties are accounted for separately from storefront sales, tips, fan-club payments, POLIREUM Fund contributions, subscriptions and any other income. A royalty dispute or adjustment is not deducted from those other income types unless the law requires it or you agree. What you receive. POLIREUM keeps no commission on your streaming royalties. We credit you with 100% of the royalties POLIREUM actually receives that are attributable to your recordings. This is not 100% of the gross amount paid by streaming services: stores and our upstream delivery partners may deduct their own share before funds reach POLIREUM (currently expected to be roughly 6–8% under our partner's published terms, subject to contract confirmation). Fees already deducted upstream are never deducted a second time. For example, if stores pay $100 and POLIREUM receives $93, you are credited $93, before any disclosed adjustment, legally required withholding, or payout cost described below. Reporting. Stores report earnings periodically and usually one to three months after the streams occurred. These are reporting delays, not payment deadlines, and statements are not guaranteed on a fixed monthly schedule. When a statement arrives we show, where the statement supplies it, the reporting period, recording, store, territory, earnings, deductions, adjustments and the net amount credited to you. Royalties are accounted for in US dollars; the original statement currency and any actual conversion details are retained. Every artist with distribution activity can view and download their own statements on any plan, including historical statements after a downgrade. POLIREUM does not estimate or project streaming earnings. Balances. Amounts are shown separately as pending (reported but not yet received and reconciled), available, held, and paid. Royalties become available only after POLIREUM has received the corresponding funds and reconciled them to the delivery partner's statement. Payouts. You may request a payout of your available royalty balance through your POLIREUM account once your payout and tax details are complete. During the initial rollout, requests are reviewed and approved by POLIREUM's finance team before money is sent. The proposed minimum request is $10 USD, measured before payout fees; smaller balances carry forward and are never forfeited. Some payout methods may require a higher minimum, which will be shown before you request. We do not promise a specific payment date. Arrival after sending depends on your payout method and receiving bank. Payout costs. You pay only the actual transfer or currency-conversion fees attributable to your withdrawal, with no POLIREUM markup. The fee and the expected net amount are shown before you confirm. POLIREUM covers its own operating costs and does not charge unrelated platform expenses against your royalties. Holds and adjustments. POLIREUM may hold, reverse or adjust royalty amounts for documented reasons, including distributor or store reversals, findings of artificial or fraudulent streaming, rights disputes, duplicate credits, and overpayments. Holds are limited to the affected funds where practical. Each adjustment records its source, amount, reason, affected recordings and status, and we will not recover the same amount twice. Subject to applicable law, valid reversals may be offset against your future royalty earnings. We will notify you where permitted and you may ask for a review by writing to support@polireum.com. Payout-account security holds under Section 19 also apply. Tax. We may require tax documentation appropriate to your tax status (generally Form W-9 for U.S. persons, W-8BEN for foreign individuals, or W-8BEN-E for foreign entities) and may withhold amounts where the law requires. Completing payment-provider onboarding does not by itself satisfy royalty tax requirements. Closing your account. If you close your account with an available royalty balance, we will pay it out under a separate closure process once any open holds or adjustments are resolved. Pending confirmation. The upstream deduction, statement frequency, reporting delays, payout minimum, payout routing and tax-reporting responsibilities above reflect published partner terms and POLIREUM's proposed policy, and remain subject to confirmation of our partner agreement and legal and accounting review. We will update this section and notify you of material changes. 38. Fan Accounts, Tips, Fan Clubs, Shows and Merchandise Fan accounts may follow artists, purchase products, join free fan clubs, and access purchased content in their library. Tips and other voluntary support payments are non-refundable except where required by law and do not entitle the payer to any content, ownership, license, equity, or promise of future delivery unless the artist expressly states otherwise. Fan-club membership grants only the benefits described by the artist at the time of joining. POLIREUM does not guarantee that an artist will deliver any promised benefit. Artists are solely responsible for event listings, ticketing, physical merchandise, fulfilment, shipping, import duties, and cancellations. POLIREUM is not the seller or organiser of those items unless expressly stated. 39. AI Transparency Where content is generated or materially altered by artificial intelligence, you must complete the AI disclosure POLIREUM requests, and POLIREUM may pass that disclosure to stores and display it publicly. This supports transparency obligations applying in the European Union, including under the EU AI Act, and comparable rules elsewhere. 40. Copyright, DMCA and Notice-and-Action Copyright complaints are handled as described in Section 25 and on our Copyright & DMCA page. For users and rightsholders in the European Union and the United Kingdom, POLIREUM also operates a notice-and-action process. Anyone may submit a sufficiently precise and adequately substantiated notice about allegedly illegal content. We will confirm receipt, decide without undue delay, and give the affected user a statement of reasons where we remove, restrict, demonetise, or suspend content or an account. Affected users may appeal an enforcement decision by writing to legal@polireum.com within six months of the decision. Appeals are reviewed by a person, not solely by automated means. Users in the EU may also pursue out-of-court dispute settlement under the Digital Services Act and may complain to their national authority; users in the UK may complain to the relevant UK regulator. We may suspend, for a reasonable period after prior warning, users who frequently post manifestly illegal content and complainants who frequently submit manifestly unfounded notices. 41. Consumers in the United Kingdom and European Union Nothing in these Terms limits rights you have as a consumer that cannot be limited by law, including rights under the UK Consumer Rights Act 2015 and EU consumer protection law. Digital content: as a consumer you normally have 14 days to withdraw from a purchase of digital content. Because purchases such as downloads, credits, and instant-access products are supplied immediately, you are asked at checkout to consent to immediate supply and to acknowledge that you lose the right of withdrawal once supply begins. Where you did not give that consent, or where supply has not begun, you may withdraw by writing to support@polireum.com. Subscriptions may be cancelled at any time and will run until the end of the paid period, unless a longer refund right applies by law. If you are a consumer resident in the UK, the EEA, or Switzerland, Sections 35's choice of law and venue do not deprive you of the protection of the mandatory laws of your country of residence, and you may bring proceedings in your local courts. EU consumers may also use the European Commission's online dispute resolution platform where available. 42. Trader Information Sellers on POLIREUM who act in the course of a trade, business, craft, or profession are traders. Traders must provide accurate identity and contact information, comply with consumer law including cancellation and refund duties, and provide required pre-contract information. POLIREUM may collect and verify trader information and display it to buyers where marketplace law requires it, including under the EU Digital Services Act, EU consumer rules, and the US INFORM Consumers Act. 43. POLIREUM Marketing and Paid Advertising POLIREUM Marketing lets you buy advertising for your music, including digital out-of-home placements such as digital billboards, through advertising partners POLIREUM selects and manages on your behalf. Pricing. When you fund a campaign you pay a media budget you choose plus a POLIREUM Marketing Service fee. The service fee covers campaign setup, media buying, creative handling, scheduling, reporting and campaign management. Both amounts are shown separately before payment, and you must approve the total before any charge is made. Minimum media budgets and fee rates are set by POLIREUM and may change; the pricing shown to you at the moment you pay is the pricing that applies to that campaign. Media budget ceiling. Your funded media budget is the maximum that may be spent on placements for that campaign. Additional spend requires a new payment you approve. Payment and launch. Campaigns are only funded when payment is confirmed by our payment processor, and no advertising is purchased before that. Creative. You are responsible for the rights in any artwork, imagery, name, likeness, music or other material used in advertising, including any created with POLIREUM's AI tools. You must approve the final artwork before it is submitted. Advertising partners, screen operators and POLIREUM may reject or remove advertising that breaches policy, law or third-party rights. Delivery and reporting. Advertising delivery depends on partner inventory, screen availability and operator approval. Impressions, plays, spend and verification data shown to you come from the advertising partner's reporting. POLIREUM does not guarantee any level of delivery, impressions, audience, streams, sales or other outcome. Refunds. Cancellations, partial delivery and unused media budget are handled under the POLIREUM Marketing Refund Policy at /marketing-refunds, which forms part of these Terms. Separate from other services. Advertising purchases are separate from subscriptions, AI credits, distribution and storefront sales. Advertising is never paid for with AI credits, and advertising funds are accounted for separately. 44. Changes to Terms We may update these Terms. If changes materially affect users' rights, we will provide reasonable notice. Continued use following the effective date constitutes acceptance where permitted by law. 45.
